¿Qué significa empresa de maletín?

Estoy leyendo este artículo sobre el estado pésimo de las escuelas venezolanas, y un párafo dice:

Ávila precisó que desde hace más de 5 años, el liceo Luis Castro, en Boca del Río, municipio Península de Macanao, fue derribado para construir una nueva sede, pero todo quedó hasta allí, al parecer porque Fede asignó la licitación a una empresa “de maletín”, que cobró mil millones de bolívares y dejó solamente la armazón de metal, mientras cientos de alumnos esperan que se culmine la obra.

Supongo que una empresa de maletín es un fraude, o en inglés se dice 'fly by night'. ¿Es correcto?

I am reading this article about the abysmal state of the Venezuelan schools, and one paragraph says:

Ávila stated specifically that more than 5 years ago, the secondary school Luis Castro, in Boca del Río, municipality of Península de Macanao, was torn down to build a new headquarters, but everything stopped there, apparently because Fede (the government entity in Venezuela responsible for building and maintaining schools) awarded the bidding to a 'business out of a briefcase', which charged a billion Bolívares (about $250 million U S dollars) and left only the metal framework, while hundreds of students wait for the work to be finished.

I assume that 'a business out of a briefcase' is a fraud, or in English it's called 'fly by night'. Is this right?

Right! it's a fraud. Another way to say it in Spanish? "Es una empresa fantasma" or "it's a ghost company". But I am not sure if this words make sense in English.
